This Site is intended exclusively for business-to-business (B2B) audiences — professional counterparties, institutional contacts, accredited investors, financial intermediaries, legal advisors, and other commercial parties who access the Site in a professional capacity.

The Site is not directed at consumers or retail investors. By using the Site you represent and warrant that you are accessing it in a professional or commercial capacity, and not as a private individual seeking investment products or services.

No Investment Offer

Any engagement with agso Inc. regarding potential transactions or business relationships will be governed by separate written agreements negotiated between the parties. The existence of this Site does not create any binding obligation on agso Inc. to enter into any transaction.

agso Inc. does not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) any information obtained from the Site will be accurate or reliable; or (c) any defects will be corrected.

To the fullest extent permitted by applicable law, agso Inc. disclaims all liability for any loss or damage arising from reliance on any information on the Site.

Limitation of Liability

To the maximum extent permitted by law, agso Inc. and its officers, directors, employees, affiliates, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including but not limited to loss of profits, loss of data, loss of goodwill, or business interruption — arising out of or in connection with your use of or inability to use the Site, even if advised of the possibility of such damages.

In no event shall our aggregate liability to you for any claims arising from your use of the Site exceed USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions the above limitations apply to the fullest extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless agso Inc. and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Site; (b) your violation of these Terms; or (c) your violation of any rights of a third party.

Governing Law & Dispute Resolution

These Terms and any dispute arising out of or in connection with the Site shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising under or relating to these Terms shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules, with proceedings conducted in Wilmington, Delaware. Judgment on any arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

If you are accessing the Site from the European Union, you may also be entitled to submit complaints to your local supervisory authority or use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr. However, as this Site is a B2B platform, the EU consumer ADR framework does not apply.

Changes to These Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of the Site after any changes constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

For material changes we will update the version number and, where feasible, note the nature of the change at the top of this document.
